Listing your officers and directors

The report shows the officers and directors the state has on file. You can add, remove or edit them, along with their street addresses. A few rules:

  • List at least one officer or director.
  • One person can hold more than one title, like president and director.
  • Pick a title from the list, or type one in if yours isn't there.
  • Everything on the report is public. Use a business address if you don't want a home address listed.

S corporations

An S corporation is a tax choice made with the IRS. With the state, it's still a Florida profit corporation, so it files the same $150 annual report.

Notes for non-profit corporations

  • No late fee, but the deadline still matters. If the report isn't filed by the third Friday of September, the non-profit is dissolved too. For 2027 that's September 24.
  • Asking for donations? That's a separate yearly registration with the Florida Department of Agriculture and Consumer Services (FDACS), not part of the annual report.
