Business dissolved?

Sunbiz Reinstatement: How to Bring Back a Dissolved Florida Business

If you missed the annual report, the state marks your business administratively dissolved (or revoked) in late September. You can bring it back online with a reinstatement. Here's what it costs and how it works.

Checked against the state's pages on November 3, 2026.

Reinstatement fees

You pay the reinstatement fee plus the annual report fee for every report year due, all at once.

Business typeReinstatement feePlus, for each report year due
LLC$100.00$138.75
Profit corporation$600.00$150.00
Non-profit corporation$175.00$61.25
Limited partnership or LLLP$500.00 for each year or part of a year revoked$500.00

Example: an LLC that missed only its 2027 report and reinstates later in 2027 pays $100.00 + $138.75 = $238.75. Wait until 2028 and the 2028 report is due too. The reinstatement screen shows your exact total before you pay.

How to file a reinstatement

  1. Find your document number

It's on your state notice. Or search your business by name on sunbiz.org.

  2. Open the reinstatement form

Go to the reinstatement page on sunbiz.org and start the online application. Your business's current details load.

  3. Update your details

Just like the annual report, you can change your addresses, FEIN, officers, directors, managers and registered agent.

  4. Have your registered agent sign

The registered agent types their name to accept the job. They need a Florida street address, not a P.O. box. Only type someone else's name if they've said yes.

  5. Pay everything due

Pay by credit card, debit card or a prepaid Sunbiz E-File account. You can also pay by check with the printed voucher. Make checks out to the Florida Department of State.

Dissolved more than a year? Your name may be gone

After a year, the state has to check that your business name is still available. If someone else took it, you'll need to file a name change amendment by mail before you can reinstate.
