Is the annual report how I renew my LLC?
Yes. Florida doesn't have a separate LLC renewal. Filing the annual report each year is what keeps your LLC "active" with the state. If you skip it, the LLC is dissolved in September and you'd have to reinstate it, which costs more.
Who has to file
- Every Florida LLC, including single-member LLCs and LLCs with no income this year.
- LLCs formed in another state that are registered to do business in Florida.
- New LLCs file starting the year after they're formed. If you formed your LLC in 2026, your first report is due in 2027.
What's on an LLC's annual report
The form shows what the state has on file. You confirm it or update it:
- The LLC's principal (street) address and mailing address
- Your FEIN, if you have one
- Your registered agent and their Florida street address
- The names, titles and addresses of your managers or authorized members (at least one)
You can't change the LLC's name on the annual report. That takes a separate amendment form.
